1. AGREEMENT TO LEGAL TERMS
CyberForce, Inc. (“SOC Jedi.AI,” “we,” “us,” or “our”) is a Delaware corporation with its principal place of business at 251 Little Falls Drive, Wilmington, Delaware 19808. These Terms of Service (“Legal Terms”) govern your access to and use of our website https://socjedi.ai and all related services, features and content (collectively, “Services”). By accessing or using the Services, you agree to these Legal Terms. If you do not agree to all of these Legal Terms, you must immediately cease all use of the Services. We may update these Legal Terms by posting a revised version with a new “Last updated” date. Continued use after changes constitutes acceptance. The Services are intended for users aged eighteen (18) or older; minors may not use or register for the Services.
2. OUR SERVICES
The Services provide an AI-SOC Analyst platform—cloud-hosted SaaS and fully on-premises—designed to ingest security logs, alerts and metadata from SIEM, EDR, XDR, IRP and other sources; automate incident investigations with AI-powered analysis; integrate via REST APIs and chatbot interfaces; enrich threat intelligence; and continuously train and improve machine learning models.
3. INTELLECTUAL PROPERTY RIGHTS
All content, functionality, software, source code, designs, text, graphics, logos, trademarks and other materials provided by SOC Jedi.AI (“Content and Marks”) are owned or licensed by SOC Jedi.AI and protected by U.S. and international intellectual property laws. Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. Any other use requires our prior written consent.
4. USER REPRESENTATIONS
You represent and warrant that you (a) have the legal capacity to accept these Legal Terms, (b) are at least 18 years old, (c) will comply with all applicable laws and regulations, and (d) will not access the Services by automated means or for any unauthorized or unlawful purpose. Providing false, inaccurate or incomplete information may result in suspension or termination of your access.

If you provide feedback, suggestions or other submissions (“Contributions”), you grant SOC Jedi.AI a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify and distribute those Contributions for any lawful purpose. You represent that your Contributions are original, do not violate any third-party rights, and you have the authority to grant this license.
7. CONTRIBUTION LICENSE
You retain ownership of your Contributions. SOC Jedi.AI may use your Contributions without compensation. You agree to indemnify SOC Jedi.AI for any claims arising from your Contributions.
8. THIRD-PARTY WEBSITES AND CONTENT
The Services may contain links to third-party websites or content (“Third-Party Content”) over which SOC Jedi.AI has no control. We do not endorse and assume no responsibility for Third-Party Content or any transactions you conduct with third parties. Your use of third-party resources is at your own risk.
9. SERVICES MANAGEMENT
We reserve the right to monitor the Services, remove or disable any content that violates these Legal Terms, and suspend or terminate your access for any reason without notice or liability.
10. CONFIDENTIALITY
Each party agrees to keep confidential all non-public, proprietary or business-sensitive information disclosed by the other party in connection with the Services. Confidential information does not include information that (a) is or becomes publicly available without breach of these Legal Terms, (b) is already known by the receiving party, or (c) is independently developed or rightfully obtained from a third party not under confidentiality obligation.
11. FORCE MAJEURE
Neither party will be liable for delays or failures in performance due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental actions, cyberattacks or failures of third-party services.
12. EXPORT COMPLIANCE
You agree to comply with all U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and, if applicable, International Traffic in Arms Regulations (ITAR). You will not export, re-export or transfer any part of the Services or related technical data except in full compliance with U.S. and other applicable laws.
13. ASSIGNMENT
Neither party may assign its rights or delegate its obligations under these Legal Terms without the other party’s prior written consent, except that SOC Jedi.AI may assign to an affiliate or in connection with a merger, acquisition or sale of all or substantially all of its assets.
14. NOTICES
All notices under these Legal Terms must be in writing. SOC Jedi.AI may provide notice by posting on the Services or via email to the address you provide. You may give notice to SOC Jedi.AI by email to privacy@socjedi.ai or by certified mail to 251 Little Falls Drive, Wilmington, Delaware 19808, United States.
15. PRIVACY POLICY
Your use of the Services is subject to our Privacy Policy at https://socjedi.ai/privacy-policy, which is incorporated herein by reference.
16. PAYMENT AND BILLING
Fees for the Services are set forth in the pricing interface of the web application. Payment may be made by credit card or wire transfer to SOC Jedi.AI’s designated account. All undisputed fees are due within thirty (30) days of invoice date. Past due balances accrue interest at 1.5% per month or the maximum rate permitted by law. SOC Jedi.AI may suspend your access for non-payment.
17. SERVICE LEVELS
Service levels and support commitments are defined in a separate Service Level Agreement (“SLA”) executed between you and SOC Jedi.AI. In case of conflict, the SLA prevails over these Legal Terms.
18. TERM AND TERMINATION
These Legal Terms remain in effect while you use the Services. We may suspend or terminate your access immediately for breach of these Legal Terms or non-payment. Upon termination, all rights granted to you under these Legal Terms cease and you must cease use of the Services.
19. MODIFICATIONS AND INTERRUPTIONS
We may modify, suspend or discontinue the Services (or any part) at any time without notice. We will not be liable for any loss or damage caused by such changes, suspensions or discontinuations.
20. GOVERNING LAW AND JURISDICTION
These Legal Terms and any dispute arising under them are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any legal action must be brought exclusively in the state or federal courts located in Wilmington, Delaware.
21. DISPUTE RESOLUTION
Disputes not resolved by good-faith negotiation within thirty (30) days shall be submitted to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, with venue in Wilmington, Delaware. You may opt out of arbitration by sending written notice to SOC Jedi.AI within thirty (30) days of first accessing the Services.
22. CORRECTIONS
We may correct errors, inaccuracies or omissions in the Services or these Legal Terms and update the content without notice. It is your responsibility to review these Legal Terms periodically.
23. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. SOC Jedi.AI DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.
24. LIMITATIONS OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOC Jedi.AI AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES. SOC Jedi.AI’S AGGREGATE LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED $1.00 USD.
25. INDEMNIFICATION
You agree to defend, indemnify and hold harmless SOC Jedi.AI, its affiliates and their officers, directors, employees and agents from any claims, liabilities, damages or expenses (including reasonable attorneys’ fees) arising from (a) your use of the Services, (b) your breach of these Legal Terms, or (c) your violations of any law or third-party rights.
26. USER DATA
You are solely responsible for the content and data you submit or transmit through the Services. SOC Jedi.AI performs routine backups but is not liable for any loss, corruption or unauthorized disclosure of your data.
27. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
By using the Services, you consent to receive electronic communications. Notices, agreements and disclosures are considered given when sent via email or posted on the Services.
28. CALIFORNIA USERS AND RESIDENTS
California residents may contact SOC Jedi.AI for privacy inquiries or complaints at privacy@socjedi.ai or file a complaint with the California Department of Consumer Affairs.
29. SURVIVAL
Sections 2, 3, 4, 5, 10, 13, 14, 17, 21, 22, 23, 24, 25, 26 and this section survive termination of these Legal Terms.
30. MISCELLANEOUS
These Legal Terms constitute the entire agreement between you and SOC Jedi.AI regarding the Services and supersede all prior or contemporaneous agreements. No waiver or modification is effective unless in writing and signed by SOC Jedi.AI. If any provision is held invalid, the remainder will continue in full force.
